Confidentiality:
The Service Provider shall use its best efforts to prevent disclosure of any trade secrets, know-how, or confidential information of the Client or related parties. This obligation continues indefinitely after termination, except for information that lawfully enters the public domain. Any unauthorized disclosure must be reported immediately, with recovery efforts at the Service Provider’s expense. The Client will keep this Agreement confidential and share it only on a need-to-know basis within the company.

Non-Poaching:
The Service Provider shall not solicit or entice any of the Client’s employees for employment. Breach of this will result in contract termination and halt of payments.

Credit for Introduction:
If a candidate is referred by multiple firms, credit is given to the firm that first sent the profile, with notification to all parties.

Replacement Policy:
Free replacement if the candidate resigns within 3 months. Service tax and applicable government taxes will be borne by the Client.

Candidate Ownership:
Fees apply if a candidate recommended joins within 6 months. Client must inform if candidate resumes were previously received to avoid duplicate fees.

Interview Process:
Service Provider will coordinate interviews and maintain communication with candidates and Client to facilitate hiring.

Client Responsibilities:
Client must provide detailed job info (profile, salary, job nature, eligibility, etc.) on official letterhead or email and provide feedback within 2 days of interviews.

Service Guarantee:
If replacement candidate’s package differs, invoice adjustments will be made accordingly within 10 working days.
